Summary of Proposed Changes

The current 2022-2024 BYLAWS have been updated to conform with the PMI 2024 BYLAWS template with a few exceptions. The key places where the PMIWDC 2025 BYLAWS differ from the PMI 2024 template are:

  • Article V, Section 11 has been modified to address the possible situation of the Chair or Chair-Elect either choosing not to continue in their role for the full term, or not being able to continue.

  • Article VI, Section 4 includes language that gives the PMIWDC Board the opportunity to approve the slate of candidates presented by the Nominations Committee. This paragraph reads:
    • Section 4. The Nominating Committee shall prepare a slate containing qualified nominees for each open Board position, distribute election materials, and verify the ballots. The nominating committee shall make a good-faith effort to identify at least two nominees for each open Board position and shall determine the eligibility and willingness of each nominee to stand for election. Once the committee has compiled a list of candidates, the slate of candidates will be presented to the board for a simple majority vote to approve the entire slate prior to presenting to membership for election.
