PMI and its members are governed by the following governing documents:
Articles of incorporation
PMI’s certificate of incorporation has been duly filed with the Commonwealth of Pennsylvania and constitute the chartering document PMI. Amendments to the articles of incorporation are governed by the Pennsylvania Nonprofit Corporations Act.
Bylaws
PMI’s bylaws are established by the PMI Board of Directors to provide the framework for the Institute’s operation and management. The bylaws implementation and amendment are governed by Pennsylvania law and the specific provisions of the bylaws dealing with those matters.
Rules of the board
The rules of the board are established and adopted by the PMI Board of Directors to supplement the Bylaws of the Project Management Institute, Inc.
