The following Motions were approved:

The 2018 PMI Board Officers and Strategy Oversight Committee Chair as follows: Caterina La Tona, Chair; Jennifer Tharp, Vice Chair; Tony Appleby, Secretary-Treasurer/Audit and Performance Oversight Committee Chair; Randall T. (Randy) Black, Strategy Oversight Committee Chair.

Effective immediately, the PMI Board of Directors approves the renaming of the Governance Committee to the Executive Committee. The current Secretary/Treasurer will oversee revising the Bylaws and Rules of the Board to reflect said change for Board approval by October 2018.

Effective immediately, the PMI Board of Directors approves the renaming of the Audit Performance Oversight Committee (APOC) to the Audit Committee. Further resolved that the current Secretary/Treasurer will oversee revising the Rules of the Board to reflect said change for Board approval by October 2018.

Resolved that, effective 31 December 2018, the PMI Board of Directors approves sunsetting the Strategy Oversight Committee (SOC).Further resolved that the Board will conduct strategy discussions as part of full Board duties in alignment with the Strategic Framework Policy.Further resolved that the current Secretary/Treasurer will oversee revising the Rules of the Board and the Strategic Framework Policy to reflect said change for Board approval by October 2018.” Motions passed unanimously.

The PMI Board of Directors directs the President & CEO to draft a plan for incorporating the Secretary role into the ELT for Board concurrence at the October 2018 Board meeting. Further resolved that the PMI Board of Directors directs the current Secretary/Treasurer to revise the Bylaws and Rules of the Board to reflect shifting the Secretary officer position to the ELT for Board approval by 31 December 2018.

The PMI Board of Directors directs the President & CEO to draft a plan for incorporating the Treasurer role into the ELT for Board concurrence at the October 2018 Board meeting. Further resolved that the PMI Board of Directors directs the current Secretary/ Treasurer to revise the Bylaws and Rules of the Board to reflect shifting the Treasurer position to the ELT for Board approval by 31 December 2018.

Effective immediately, the PMI Board of Directors approves delegating Board Development oversight to the Executive Committee.

Effective 31 December 2018, the PMI Board of Directors approves sunsetting the role of the Vice Chair and directs the current Secretary/Treasurer to oversee revising the Bylaws and Rules of the Board to reflect said change for Board approval by October 2018.

Effective 31 December 2018, the PMI Board of Directors approves the creation of a Risk Oversight Committee and directs the current Secretary/Treasurer to oversee revising the Rules of the Board and the Risk Policy to reflect said change for Board approval by October 2018.

The PMI Board of Directors approves assigning the WBTT to address the following items by 7 September 2018: 

  • Develop Board Officers Election Process
  • Work with current committees to update current and establish new charters, including refreshing the Board Support Committees Liaison roles.” Motion passed.

Effective immediately, the PMI Board of Directors endorses the Level 2 PMI Stakeholder Policy as presented in the July 2018 Board meeting materials.
