FAR Flowdown Provisions Under a U.S. Government Prime Contract

A. Flowdown of FAR Clauses

These additional terms (“Terms”) are incorporated into and apply to the Master Services Agreement (or other product, service, contractor or vendor agreement) (“Agreement”) between Project Management Institute, Inc. (“PMI”) and you (“Supplier”).  The Federal Acquisition Regulation (FAR) clauses set forth in Section C. below are incorporated by reference to the extent indicated below. The effective version of each clause shall be the version stated below, unless the version that applies to PMI under its prime contract(s) or higher-tier subcontract(s) is different, in which case that version will apply. In all cases, the clauses shall be interpreted to apply to Supplier as necessary to reflect the position of Supplier as a subcontractor to PMI, to ensure Supplier’s obligations to PMI, and to enable PMI to meet its obligations to its customer. Without limiting the foregoing: (1) unless the context of the clause or applicable law requires otherwise, the term “Contractor” means Supplier, the term “Contract” means the Agreement, the term “Subcontractor” means each of Supplier’s subcontractors, and the terms “Government,” “Contracting Officer” and equivalent phrases mean PMI and PMI’s Contractual Representative, respectively; (2) the words “Government” and “Contracting Officer” do not change when a right, act, authorization or obligation can be granted or performed only by the Government or when title to property is to be transferred directly to the Government; and (3) where a clause specifies the period of time in which Supplier must act, that period shall be reduced by half.

B. Amendments

PMI reserves the right to amend these Terms at any time and in its sole discretion to include any additional or revised FAR clauses or supplemental agency acquisition regulation clauses incorporated in PMI’s prime contract(s) or higher-tier subcontract(s) or that are otherwise applicable to PMI.
